The parent company often maintains strict rules about the content and environments open for access to ensure that nothing is viewed, copied, or migrated that is not explicitly part of the divestiture or carve-out agreement. Greenfield Environments
In many divestiture scenarios, the divesting organization will operate as a new company. In these greenfield scenarios, the divesting entity needs to create IT systems and infrastructure quickly and efficiently. Data & Application Separation
Separating data and applications between the parent and divested business entity can be tricky and convoluted. Using our application and database experience, we can help query and extract the data belonging to the divested entity. We’ll then review the data with the parent organization and port it to the divested company’s new application and database structure.
Operational Continuity
Divestiture or carve-out restructurings typically involve cutover events — usually, the effective date of the event — where access to the parent entity’s environment is removed entirely. This makes it particularly important to conduct a thorough examination to ensure the inventory, migration, and data separate process is complete. If we find missed or omitted data, we’ll work with the parent organization post-cutover to fill in the gaps.
Day 2 Support
Divesting and starting over as a new company? After the cutover, you’ll probably need supplemental staffing, expertise, and support to manage and maintain your IT systems. 6 Steps to Successful Technology Divestiture
- We begin by working with the parent organization to conduct a thorough inventory and review of the divested entities’ identities, applications, data, and Microsoft 365 content.
- Next, we collaborate with leaders of the new entity to define a unified vision for how the organization will operate independently.
- We deploy and configure new on-premises and cloud systems to serve the new entity, leveraging cloud computing and SaaS platforms to speed up deployment time and reduce the need to buy and configure complex on-premises IT infrastructure.
- We develop a comprehensive data migration strategy to ensure the seamless transfer of critical information, working with the parent organization to schedule and execute the migration according to the permissions allowed.
- We maintain security and compliance using Microsoft 365’s security features, such as Entra ID Conditional Access and Purview Information Protection, and implement Data Loss Prevention (DLP) policies to prevent unauthorized data sharing and collaborate with legal and compliance teams to meet regulatory requirements.
